These terms and conditions (together with the other documents incorporated by reference below, the “Agreement”) govern the supply of the Services under this Agreement by Worldpay (UK) Limited, Worldpay Limited, Worldpay AP Ltd, Worldpay B.V., and/or any of the additional parties specified in Schedule 1, as the context requires (“Worldpay”, “we”, “us”, “our”) to the merchant(s) approved by us under this Agreement (“you”, “your” or the “Merchant”).

This Merchant Agreement (“Agreement”) is entered into between Harris Trust and Savings Bank (“Bank,” “us,” “we,” or “our”) and the undersigned Merchant (“Merchant, “you,” or “your”) in consideration of mutual promises. Bank and Merchant are independent parties contracting for services and neither is an agent, partner or joint venturer of the other. The services of Bank (other than funds settlement and transfer) are provided through MONERIS SOLUTIONS, INC., a Delaware corporation and member service provider to the Bank.

This Merchant Services Agreement (the "Agreement") is a legal and binding agreement between you, the Merchant (as hereinafter defined) and Zinopi Online Singapore Pte Ltd, Zinopi Online (M) Sdn Bhd, PT Zinopi Online Indonesia ("the Company").

Reference is made to your letter of December 28, 2008 relative to the Amended and Restated Merchant Services Agreement dated as of February 1, 2004 by and between Office Depot, Inc.
